- A Message About Business Dissolution
Dear Fred,
My partner and I started a business about four years ago. After being in business together for a while, I don’t feel like he is keeping up his end of the bargain. I thought our expectations were clear at the beginning of our partnership, but we have been experiencing more and more conflicts as our business grows. I am considering what I should do next. Do you have any advice about business dissolution or ways to resolve our business conflicts?
Thanks in advance for your advice,
Sincerely,
John T.
San Diego, California
Dear John T.
You have raised an issue that many people experience in business. Undertaking a business dissolution is obviously a drastic step. Before you consider a dissolution of your business, you may want to attempt to resolve your conflicts with your partner. Here are some suggestions:
- First, review the documents you signed when you began the business together. This will help you clarify the business expectations that you both agreed to. You may find that refreshing your memory as to the terms helps resolve the conflict. It at least provides a basis for an open discussion with your partner.
- If you need help understanding the terms you agreed to, it is always a good idea to contact your attorney for help in interpreting the agreements. All agreements and contracts contain a certain amount of ambiguity or vague terms which can lead to conflicts and disagreements. Therefore, it helps to have a legal interpretation of the terms to help clarify the obligations.
- After you have had this discussion, agree to a time period, or at least form one in your one mind, to see if the situation improves. For example, set a deadline such as 30 or 90 days to see if the situation is clarified and whether actions change.
If, after the specified time period, the business conflict continues, it is time to consider taking steps toward business dissolution. While dissolutions can be fraught with conflict, there are steps you can take to ease the transition:
- Gather all of the relevant documents such as business formation documents, employment agreements, stock options plans, non-disclosure agreements, non-compete agreements, business financials, etc. Organizing your documents will help save you legal fees and accounting fees because you will be presenting a complete history rather than piecemeal hunting for important information.
- Create a timeline for the dissolution. Contact your attorney early and get them involved in the process. Often, early professional advice and negotiation can head off expensive litigation.
- Obtain an accounting of the business assets and liabilities.
John, I hope that my experience in business conflict resolution and business dissolution can help guide you through what can be a difficult process. I believe we can help you achieve a positive financial result and ease the transition process. Feel free to contact me at 619-398-1882 or via email at info@gastonandgaston.com
